SITHA Partner Service Agreement

By registering as a SITHA Partner and tapping “I Agree” you confirm that you have read, understood, and accept the following terms in full.

1. Definitions

• Partner:Individual or business offering services on SITHA.
• Seller:Individual or business listing products for promotion on SITHA.
• Service:Any task you perform for a customer (e.g., tutoring).
• Product: Any physical item you advertise on SITHA (e.g., artisan goods).
• Commission (for service provider): Any physical item you advertise on SITHA (e.g., artisan goods).
• Subscription Fee (only for seller):Recurring charge for product listings, free for first 3 months, thereafter subject to change based on market dynamics.

2. Service Partner Terms

2.1 Partner Obligations

• Accurate Listings:Clear, truthful service descriptions, pricing, and availability.
• Compliance:Maintain all licenses, permits, and insurance required under Indian law.
• Performance:Deliver professionally and punctually; notify customers of any changes.
• Customer Care: Respond to inquiries and disputes courteously within SITHA’s timelines.

2.2 SITHA’s Responsibilities

• Platform Access:Partner portal for managing listings, bookings, and earnings.
• Payment Processing:Collect customer payments, hold in escrow until service completion.
• Support:Technical and billing assistance for platform-related issues.

2.3 Fees & Payments

• Commission:12 % of each service transaction. E.g., on ₹1,000 you earn ₹880.
• Commission Flexibility: May adjust rates for sustainability (due to costs, new features, market shifts, regulations). Changes will be communicated 30 days in advance via in-app notification.
• Payouts:Net earnings disbursed via NEFT/IMPS/UPI on a T+2 business-day cycle. Bank or UPI charges borne by you.

3. Product Seller Terms

3.1 Seller Obligations

• Promotional Listings:You may advertise products; fulfillment (delivery, customer interaction) is your responsibility.
• Compliance:Ensure all products meet applicable safety, labeling, and licensing standards.

3.2 SITHA’s Responsibilities

• Visibility: Showcase your products to customers within the app
• Support:Provide platform and technical assistance for listing and managing products.

3.3 Subscription Fee

• Introductory Offer:Free for the first 3 months from your registration date.
• Post-Trial Rates: Subscription fees will vary based on market conditions; you will receive 15 days notice of any change.

4. Termination & Suspension

• By Partner/Seller: Deactivate account at any time; outstanding earnings or refunds processed per Sections 2.3 & 3.3.
• By SITHA: Immediate suspension or termination for fraud, safety risks, legal non-compliance, or repeated complaints.

5. Liability & Indemnification

• Partner/Seller Liability: You indemnify and hold SITHA harmless from any claims arising out of your services (e.g., injury, property damage, professional errors).
• SITHA Limitation: SITHA’s total liability to you for any reason will not exceed the total commissions collected in the preceding three months.

6. Confidentiality & Data Privacy

• Confidential Information: Includes customer contact details, pricing models, and SITHA’s business data. You agree not to disclose or misuse this information.
• Data Use: SITHA will handle your personal and bank details per our Privacy Policy; your sensitive data will never be shared with customers.

7. Governing Law & Dispute Resolution

• Governing Law: This Agreement shall be governed by and construed in accordance with the laws of India, including but not limited to the Indian Contract Act, 1872, and other applicable statutes.
• Dispute Resolution: Any disputes arising out of or in connection with this Agreement shall be resolved through arbitration in accordance with the Arbitration and Conciliation Act, 1996. The arbitration shall be conducted in English, and the venue shall be determined as per mutual agreement.

By tapping “I Agree”, you accept all of the above terms and authorize SITHA to facilitate your service bookings, process payments on your behalf, and collect the agreed commission.
